Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of services provided by Connecting Teams Pty Ltd (ACN 156 606 441, ABN 17 156 606 441) ("Company", "we", "our", "us"). By engaging our services, you ("Client", "you", "your") agree to be bound by these Terms.

2. Services

2.1 Scope of Services

We provide:

  • Zoho One evaluation and consultation services
  • Zoho application implementation and configuration
  • Business process automation consulting
  • Training and support services
  • Ongoing maintenance and optimisation

2.2 Zoho Partnership

We are an authorized Zoho partner. When you tag us as your partner during Zoho subscription purchase, we may receive partner commissions from Zoho Corporation. This does not affect the pricing you pay to Zoho.

3. Client Obligations

  • Provide accurate and complete information
  • Ensure timely access to systems and personnel
  • Maintain valid Zoho subscriptions as required
  • Comply with Zoho's terms of service
  • Pay all fees in accordance with agreed terms
  • Participate actively in implementation and training sessions

4. Fees and Payment

4.1 Service Fees

Fees for our services are as quoted in individual proposals or service agreements. All prices are in Australian Dollars (AUD) and include GST where applicable.

4.2 Payment Terms

  • Payment terms are net 14 days unless otherwise specified
  • Late payments may incur interest at 2% per month
  • We reserve the right to suspend services for non-payment
  • All expenses and disbursements are additional to service fees

4.3 Zoho Subscriptions

Zoho subscription fees are separate and payable directly to Zoho Corporation. We are not responsible for Zoho billing or subscription management.

5. Intellectual Property

5.1 Our IP

All methodologies, frameworks, templates, and documentation created by us remain our intellectual property.

5.2 Client Data

You retain ownership of all your business data and information. We claim no ownership rights to your data.

5.3 Configurations

Zoho configurations and customisations created for your specific use case belong to you, while underlying methodologies remain our IP.

6. Confidentiality

We will maintain the confidentiality of your business information and data in accordance with our Privacy Policy and applicable laws. Both parties agree not to disclose confidential information received during the engagement.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our services will be performed with reasonable skill and care in accordance with industry standards.

7.2 Disclaimers

We do not warrant that:

  • Zoho applications will meet all your business requirements
  • Third-party software will be error-free or uninterrupted
  • Data migration will be 100% accurate without client verification
  • Business outcomes or ROI will be achieved

8. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability is limited to the fees paid for the specific service
  • We exclude liability for indirect, consequential, or special damages
  • We exclude liability for business interruption or lost profits
  • Nothing excludes liability for fraud, gross negligence, or death/personal injury

9. Indemnity

You agree to indemnify us against claims arising from:

  • Your use of Zoho applications beyond our recommendations
  • Your breach of Zoho's terms of service
  • Your breach of these Terms
  • Misuse of configurations or data

10. Termination

10.1 Termination Rights

Either party may terminate services with 30 days written notice. We may terminate immediately for non-payment or material breach.

10.2 Effect of Termination

  • All unpaid fees become immediately due
  • We will provide reasonable assistance for transition
  • Confidentiality obligations survive termination
  • You retain access to all Zoho configurations

11. Force Majeure

Neither party will be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, or Zoho service outages.

12. Governing Law

These Terms are governed by the laws of Queensland, Australia. Any disputes will be subject to the exclusive jurisdiction of Queensland courts.

13. Changes to Terms

We may update these Terms from time to time. Updated terms will be posted on our website and apply to new engagements.
